Terms of Service

1. Parties

These Terms govern the use of FOHMSS ERP software platform provided by:

FOHMSS SOLUTIONS (Partnership Firm)

("We", "Us", "FOHMSS") and the subscribing business or individual ("You", "User", "Customer").

2. Service Description

FOHMSS ERP is a cloud-based Enterprise Resource Planning platform for Indian MSMEs, providing:

• Finance & Accounting (GST, vouchers, ledgers, reports)
• Human Resource Management (payroll, attendance, leave)
• Sales CRM (orders, invoices, customers, leads)
• Operations & Inventory management
• Marketplace integration (Meesho, Flipkart)
• AI-powered insights and automation

Provided as Software as a Service (SaaS) under SAC code 998313. 18% GST is applicable on all subscription fees.

3. Acceptance

By registering for or using FOHMSS ERP, you agree to these Terms. If you do not agree, you must not use the platform. Continued use after any update constitutes acceptance of revised Terms.

4. Account Responsibilities

• Provide accurate and complete business information including GSTIN (if applicable)
• Maintain the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account
• Notify us immediately at support@fohmss.in of any unauthorised access
• Ensure all users in your organisation comply with these Terms

5. Acceptable Use

You must not use FOHMSS ERP to:

• Process fraudulent transactions or evade taxes
• Violate any applicable Indian law or regulation
• Attempt to gain unauthorised access to other tenants' data
• Reverse engineer, copy or reproduce the platform
• Upload malware, viruses or harmful code
• Conduct data scraping or automated bulk extraction

6. Data Ownership

You own all business data you enter into FOHMSS ERP. We act as a data processor only. You may export your data at any time. We do not claim any intellectual property rights over your data.

7. Subscription & Payment

• Subscriptions are billed monthly or annually in advance
• 18% GST is applicable on all fees
• A GST invoice is issued for every payment
• Service is suspended 7 days after a failed or missed payment
• Plan changes take effect from the next billing cycle
• Pricing is subject to change with 30 days prior notice

8. Uptime & SLA

• Target uptime: 99.5% monthly (approximately 3.6 hours downtime/month)
• Scheduled maintenance: notified at least 48 hours in advance
• Check real-time status at fohmss.in/status
• Unplanned downtime exceeding 4 hours/month: service credits will be issued

9. Confidentiality

Both parties agree to maintain the confidentiality of each other's proprietary information. We will not disclose your business data to any third party except as required by law or as described in our Privacy Policy.

10. Intellectual Property

FOHMSS ERP software, design, code and documentation are the intellectual property of FOHMSS SOLUTIONS. You are granted a limited, non-exclusive, non-transferable licence to use the software during your subscription period.

11. Termination

• Either party may terminate with 30 days written notice
• We may terminate immediately for breach of acceptable use policy
• After termination: 30 days to export your data
• Data is permanently deleted 30 days after the export window closes

12. Limitation of Liability

Our total liability is limited to the subscription fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental or consequential damages, loss of data due to force majeure, or third-party service failures.

13. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be resolved through arbitration or in the courts of Coimbatore, Tamil Nadu.
